Terms of Service

1. Who we are & acceptance

The Rexium platform ("Service") is operated by Rexium AI, Lda, a company incorporated in Portugal (Sociedade por Quotas), NIPC 519476239, registered office at Travessa do Candal, 21, 4535-324 Paços de Brandão, Portugal ("Rexium", "we", "us"). By accessing or using the Service you agree to these Terms of Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind it.

2. The Service

Rexium is a multi-module platform for online businesses. You can activate any combination of:

  • Chat — an embeddable AI chat/support widget trained on your content.
  • Commerce — hosted storefronts, catalogue, pages and orders (with a showcase/"site" mode that does not sell).
  • Reach — email / audience campaigns over a shared contact model.
  • Billing — Portuguese invoicing (FT/FR/NC) and SAF-T export.

Features evolve over time. We may add, change or retire functionality, and some capabilities (e.g. real-time AT invoice submission) depend on certifications still in progress.

3. Eligibility & account

  • You must provide accurate, complete registration information.
  • You are responsible for safeguarding your account credentials.
  • Notify us immediately of any unauthorized account access.
  • You must be at least 18 years old to use the Service.

4. Subscriptions, trial & billing

  • New accounts include a 7-day free trial. A valid payment method is required to start the trial; you will be charged when the trial ends unless you cancel before then.
  • Pricing is in EUR. Each module is a separate line item on a single subscription per account; you may activate one module or several.
  • Subscriptions are billed monthly or annually, processed through Stripe. The currency is fixed at first checkout.
  • You can upgrade or downgrade a module from the Billing dashboard, and cancel from the dashboard or the Stripe customer portal. Cancellation takes effect at the end of the current period; access continues until then.
  • Plans have defined quotas (e.g. conversations, sends, AI actions, catalogue size). We do not charge overage — instead the Service may restrict the relevant action until the next cycle or until you upgrade.
  • We may change pricing with 30 days' notice; active subscriptions are honored until their next renewal.

5. Commerce sales & fees

If you sell through a Commerce storefront, card payments are processed via Stripe Connect into your connected Stripe account, and Rexium applies a per-tier platform sales fee on those card sales (shown on the Commerce pricing page). Payments you collect directly (e.g. by bank transfer) carry no platform fee. You are the seller and merchant of record for your sales: you are responsible for your products, prices, taxes, consumer-law obligations, fulfilment, refunds and customer service.

6. Your content & data

  • You retain ownership of the content you upload (catalogue, documents, pages, media, contacts).
  • You grant us a limited license to host and process your content solely to operate the Service for you (including indexing it for AI search and generating responses).
  • Data your end-users generate (conversations, orders, contacts) is stored on your behalf and treated as your data.
  • We do not use your data to train AI models for other customers or for any purpose beyond operating your account.

7. Data protection

For personal data of your end-users (store shoppers, chat visitors, email contacts), you are the controller and Rexium is the processor, acting on your documented instructions. You are responsible for having a lawful basis, your own privacy notice, and the necessary consents — in particular, you must only send Reach campaigns to contacts who have validly consented or to whom you may lawfully send under applicable e-privacy rules. Our processing, subprocessors and safeguards are described in our Privacy Policy, which forms part of these Terms.

8. AI features & disclaimer

The Service uses AI to generate responses, content and suggestions. AI output can be inaccurate, incomplete or unsuitable, and may not reflect your business's position. You are responsible for reviewing AI output before relying on or publishing it. AI features do not constitute legal, financial, tax or professional advice.

9. Invoicing (Billing module)

The Billing module helps issue Portuguese tax documents and SAF-T exports. You remain responsible for the accuracy of your fiscal data and for your obligations toward the tax authority (AT). Certain capabilities depend on AT software certification, which is in progress; until it is in place, certain flows operate in an external mode as described in-product.

10. Acceptable use

You agree not to use the Service to:

  • Violate any applicable law or regulation;
  • Send spam, phishing, or unlawful/misleading messages;
  • Upload malicious, illegal or infringing content;
  • Sell prohibited or counterfeit goods through a storefront;
  • Reverse-engineer, decompile or access the Service's source code;
  • Interfere with or disrupt the Service or its infrastructure;
  • Resell or redistribute the Service without written authorization.

11. Intellectual property

The Rexium platform — its design, code, features and documentation — is the intellectual property of Rexium AI, Lda. You may not copy, modify or create derivative works from the Service except as expressly permitted.

12. Availability

We strive for high availability but do not guarantee 100% uptime, and may perform maintenance that temporarily affects the Service. Enterprise plans may include separate SLA commitments.

13. Limitation of liability

To the maximum extent permitted by law, Rexium shall not be liable for indirect, incidental, special, consequential or punitive damages arising from your use of the Service. Our total aggregate liability is limited to the amount you paid for the Service in the 12 months preceding the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

14. Indemnity

You agree to indemnify Rexium against claims arising from your content, your sales or campaigns, or your breach of these Terms or of applicable law — including claims by your end-users or by authorities relating to data you control.

15. Termination

  • You may terminate your account at any time from the dashboard or by contacting us.
  • We may suspend or terminate your account for breach of these Terms, with notice where possible.
  • On termination, data is retained for 30 days to allow export, then deleted — except records we must keep by law (e.g. invoicing).

16. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email or dashboard notice at least 15 days before they take effect. Continued use after changes constitutes acceptance.

17. Governing law & contact

These Terms are governed by the laws of Portugal, and disputes are subject to the competent Portuguese courts, without prejudice to any mandatory consumer-protection rights.
